By registering for our Affiliate Program, you ("Affiliate") agree to comply with and be legally bound by all terms and conditions set forth in this agreement. This agreement is entered into between you and our company ("Advertiser"), which acts as an intermediary in affiliate marketing, promoting products and services from third-party partner companies.
Participation in the program is voluntary and may be canceled by either party at any time with prior notice.
Affiliate: Individual or legal entity that registers for the program to promote products or services through affiliate links.
Advertiser: Our company, which acts as an intermediary between affiliates and product/service providers.
Commission: Amount paid to the Affiliate for qualified sales or actions completed through their affiliate links.
Affiliate Link: Unique URL provided to the Affiliate for tracking conversions and attributing commissions.
Conversion: Valid action (purchase, registration, etc.) completed by a user through the Affiliate's link.
This agreement establishes a commercial partnership exclusively for affiliate marketing purposes. It is expressly established that:
• No employment relationship exists between the parties
• There is no hierarchical subordination or economic dependence
• The Affiliate operates independently and autonomously
• There is no exclusivity for either party
• The Affiliate cannot make commitments on behalf of the Advertiser
To participate in the program, the Affiliate must:
• Correctly complete the registration form with accurate information
• Provide valid banking details for commission payments
• Agree to all terms of this agreement
• Await approval of registration by the Advertiser's team
The Advertiser reserves the right to refuse any registration without justification, as well as to remove affiliates who violate program policies.
The Affiliate agrees to:
• Promote products ethically, transparently, and in compliance with applicable laws
• Clearly disclose participation in the affiliate program on their promotional channels
• Not make false or misleading promises about products
• Not use spam, cookie stuffing, or fraudulent techniques
• Not use their own link for personal purchases
• Keep registration information updated
• Disclose all domains and platforms where affiliate links will be used
• Not compete with the Advertiser's advertising campaigns using brand keywords in paid ads
The Advertiser agrees to:
• Provide appropriate promotional materials (banners, links, descriptions)
• Accurately track conversions through affiliate links
• Calculate and pay commissions transparently
• Provide performance reports through the affiliate platform
• Communicate changes to terms with minimum 7 days advance notice
• Maintain confidentiality of Affiliate data
Commissions are calculated based on valid conversions attributed to the Affiliate:
• Commission rates vary according to specific product and campaign
• Commissions are calculated on net sale value (after discounts and returns)
• Tracking period (cookie) is 30 days unless otherwise specified
• Payments are made monthly, provided minimum threshold is reached
• Commissions from canceled, returned, or fraudulent sales will be reversed
• Payments are made via bank transfer or agreed method
The following practices are expressly prohibited:
• Use of spam techniques or unauthorized mass emailing
• Cookie stuffing, deceptive pop-ups, or false redirects
• Falsification or masking of referral information
• Use of bots, hidden iframes, or automation tools to generate fake leads
• Promotion of illegal, offensive, discriminatory, or pornographic content
• Violation of copyrights or intellectual property
• Direct financial incentives to encourage artificial purchases
• Purchase of ads on Advertiser's brand keywords without prior authorization
Violation of any of these restrictions will result in immediate account cancellation and loss of pending commissions.
All content provided by the Advertiser (logos, images, texts, banners) remains the exclusive property of the Advertiser or its partners. The Affiliate receives only limited license to use for promotional purposes within the program, and cannot:
• Modify materials without authorization
• Register similar trademarks or domains
• Use materials outside the program context
• Transfer the license to third parties
Conversion tracking is performed through cookies and tracking technologies. The Affiliate acknowledges that:
• The Advertiser's tracking system is the sole valid source for commission attribution
• Users who block cookies may not be tracked correctly
• Last-click attributed conversions have priority unless otherwise agreed
• The Advertiser is not responsible for technical tracking failures beyond its control
The Advertiser may suspend or cancel the Affiliate's participation in the following cases:
• Violation of any term of this agreement
• Inactivity for more than 180 days
• Suspected fraud or illegal activities
• Dissemination of false or misleading information
• Damage to the reputation of the Advertiser or its partners
The Affiliate may cancel participation at any time through the platform or by email request.
The Advertiser acts exclusively as an intermediary in marketing third-party products. Therefore:
• Does not guarantee the quality, availability, or characteristics of promoted products
• Is not responsible for issues between buyers and suppliers
• Does not guarantee specific results or future commission values
• May change or discontinue products and campaigns at any time
• Is not responsible for indirect damages arising from program participation
Both parties agree to keep confidential all non-public information exchanged during the term of this agreement, including marketing strategies, performance data, and sensitive business information.
The Affiliate agrees to indemnify and hold harmless the Advertiser from any claims, damages, losses, or expenses (including legal fees) arising from:
• Violation of the terms of this agreement
• Violation of applicable laws or regulations
• Violation of third-party rights
• Affiliate's content or promotional practices
The Advertiser reserves the right to modify these terms at any time. Changes will take effect:
• Immediately after publication on the platform for minor modifications
• After 7 days of email notification for substantial modifications
Continued use of the program after modifications constitutes acceptance of the new terms.
The Advertiser may terminate the affiliate program at any time with minimum 30 days prior notice. In case of termination:
• All pending and approved commissions will be paid regardless of minimum threshold
• Affiliate links will cease functioning after the transition period
• The Affiliate must cease all promotion related to the program
• This agreement is governed by Brazilian laws
• Omitted cases will be resolved by mutual agreement between parties
• Invalidity of any clause does not affect the validity of others
• This agreement supersedes all prior agreements between parties
• Tolerance in compliance with any clause does not constitute waiver of rights
The parties elect the jurisdiction of [City/State] to settle any disputes arising from this agreement, with express waiver of any other, however privileged.
